Version 1.0

Tanuva Terms of Service

Effective date: 20 September 2026

Susmita Dutta, operating the Tanuva service as an individual.

1. About Tanuva

Tanuva is clinic-management software provided by Susmita Dutta, operating the Tanuva service as an individual. In these Terms, “Tanuva”, “we”, “us” and “our” refer to that operator; “Clinic” refers to the healthcare practice registering for or using the service. These Terms govern access to the software, together with the plan and commercial terms shown when a subscription is purchased.

2. Clinic registration and authority

The person registering a Clinic must have authority to act for it, provide accurate information and accept these Terms on its behalf. You must not register a Clinic without permission or misrepresent your identity or authority. Keep registration and contact information current. Selecting another person as Clinic Admin does not establish that they personally submitted the registration or acceptance.

3. Clinic administrators and users

The Clinic is responsible for authorising its users, assigning appropriate access, reviewing permissions and promptly removing access when no longer needed. Protect passwords, devices and account recovery channels; do not share credentials. Inform us promptly of suspected unauthorised access. Users must act within their professional duties and the Clinic’s permissions.

4. Patient and clinical information

The Clinic is responsible for the accuracy, lawful collection, use and disclosure of information it enters, including patient records and images. It must provide appropriate notices, obtain necessary permissions and comply with professional, confidentiality and recordkeeping duties. Only upload information you are authorised to provide. Tanuva processes Clinic information to operate, secure and support the software, as described in the Privacy Policy.

5. Medical decisions and patient safety

Tanuva is not a hospital, clinic, doctor, healthcare provider, pharmacy, diagnostic provider or provider of medical advice. Diagnosis, treatment, prescriptions and patient-care decisions remain the responsibility of qualified healthcare professionals and the Clinic. Review software outputs for accuracy before relying on them. Tanuva is not an emergency service. Maintain appropriate clinical and operational procedures for temporary software unavailability, including access to information essential for safe patient care.

6. Subscriptions and plans

Features, duration and capacity limits depend on the plan and terms shown at purchase. Trials may have specific duration and capacity limits. The Clinic must respect those limits and must not circumvent enforcement. An unavailable or inactive plan does not by itself terminate a previously purchased subscription. Changes to future offers do not silently rewrite the terms of an existing purchased period.

7. Fees, taxes and payment

Review the displayed currency, duration, discount, tax and final payable amount before confirming a purchase. Applicable taxes and payment terms will be disclosed with the purchase. Payment may be handled by an independent provider; its terms may also apply. A failed or incomplete payment does not establish entitlement. Please report suspected billing errors promptly with the relevant transaction reference, without sending payment credentials.

8. Refunds and subscription changes

Renewals, upgrades, downgrades, credits and refunds are subject to the terms and options expressly offered for the relevant transaction and to applicable law. Do not assume cancellation generates an automatic refund or that unused time always converts to cash or credit. Contact support with a request or error. These Terms do not remove any statutory refund or other remedy that cannot lawfully be excluded.

9. Service availability

Uninterrupted, error-free or continuously available service is not guaranteed. Interruptions can result from scheduled or emergency maintenance, software defects, unexpected technical failures, server or database failures, internet or telecom failures, hosting or cloud failures, payment or other third-party failures, cybersecurity incidents, upgrades or deployments, high demand, and events outside reasonable control. Use contingency procedures appropriate to your Clinic and patient-care responsibilities.

10. Maintenance and changes

We may maintain, secure, correct and improve the service, and may need to interrupt access temporarily. Where practicable we will communicate significant planned interruptions or material changes through available service or account channels. Emergency work may occur without advance notice. A new feature or release is not guaranteed merely because it is discussed or proposed.

11. Data protection and privacy

The Privacy Policy explains how information is handled, including the distinction between Clinic-controlled patient information and information collected directly from account holders. The Clinic remains responsible for its lawful clinical purposes and access decisions. Registration acceptance is not a substitute for any patient notice, consent or other lawful basis required for the Clinic’s processing.

12. Data storage, retention and backups

Data may be stored and processed using third-party infrastructure. We use measures intended to protect service data, but no system or backup mechanism guarantees absolute availability, complete recovery or zero data loss. The Clinic should maintain appropriate independent records and continuity arrangements consistent with its legal duties. Retention and deletion depend on purpose, legal obligations, security, disputes and backup cycles; closure does not mean every record disappears immediately.

13. Acceptable use

Do not use the service unlawfully, upload malicious content, infringe rights, attempt unauthorised access, probe or disrupt security without permission, overload the service, impersonate others, or bypass access or capacity restrictions. Do not use it to disclose patient information to unauthorised people. We may investigate credible misuse and take proportionate protective action.

14. Intellectual property and software licence

Subject to these Terms and the applicable subscription, the Clinic receives a limited, non-exclusive, non-transferable right to use the service for its authorised operations. Software, design and branding rights remain with their respective owners. The Clinic retains rights it lawfully holds in its content and permits us to process that content only as necessary to provide, secure and support the service and fulfil legal obligations. Do not copy, resell or reverse engineer the software except where applicable law permits.

15. Third-party services

Hosting, communications, payment and other third-party services may support Tanuva. Their availability and processing may be governed by separate terms. We cannot guarantee their uninterrupted operation. This does not exclude any responsibility that applicable law places on us for our selection or use of service providers.

16. Disclaimer of warranties

To the extent permitted by applicable law, the service is provided on an “as available” basis without promises that it will be error-free, meet every individual workflow or produce clinically correct results without professional review. No statement here excludes a warranty, obligation or remedy that cannot lawfully be excluded.

17. Limitation of liability

Subject to applicable law, Tanuva’s aggregate liability arising from or relating to the service will not exceed the subscription fees actually paid by the affected Clinic during the three months immediately preceding the event giving rise to the claim. To the extent law permits, we are not liable for indirect or consequential loss, lost profits or loss arising from the Clinic’s failure to take reasonable continuity precautions. These limitations do not exclude or limit liability that cannot legally be excluded or limited, including any mandatory rights or remedies. They do not relieve us of applicable statutory duties.

18. Indemnity

To the extent permitted by law, the Clinic will indemnify the operator against reasonable third-party claims, liabilities and costs arising from the Clinic’s unlawful content, lack of authority, infringement of third-party rights or material misuse of the service. This does not apply to the extent caused by our own breach, negligence or unlawful conduct. We will provide reasonable notice of a claim and cooperation, and will not agree a settlement imposing obligations on the Clinic without its consent, not unreasonably withheld.

19. Suspension

We may restrict or suspend access where reasonably necessary to address security threats, unlawful use, material breach, payment or entitlement issues, or a binding legal requirement. Where practicable, we will explain the reason and allow an opportunity to resolve it; urgent protective action may be immediate. Contact support if you believe a restriction is mistaken.

20. Termination

The Clinic may request account closure through support. Expiry, cancellation and closure remain subject to the applicable purchased terms and mandatory law. We may terminate for material breach that is not remedied after reasonable notice where a remedy is possible, or where continued service would be unlawful. Arrange any necessary record retrieval before closure. Obligations concerning accrued payments, confidentiality, lawful retention, liability and dispute resolution survive as appropriate.

21. Force majeure

Neither party is responsible for delay or failure caused by events beyond its reasonable control to the extent permitted by law, including natural disasters, widespread outages, government action or civil disruption. The affected party should take reasonable steps to reduce the impact and resume performance. This clause does not excuse obligations or liabilities that applicable law does not permit to be excused.

22. Changes to Terms

We may publish revised Terms with a new version and effective date and provide notice of material changes through appropriate service or account channels. Where required, we will seek fresh acceptance. Historical registration evidence continues to identify the versions originally accepted. Changes do not retrospectively rewrite that evidence or remove mandatory rights.

23. Electronic communications

We may communicate service, security, account and contractual information through the service or the contact details supplied by the Clinic. Keep those details accurate and monitor them. Agreement to essential service communications does not constitute blanket consent to unrelated marketing.

24. Governing law and dispute resolution

Indian law governs these Terms. Please contact support first so we can try to resolve a concern. Subject to mandatory law and any non-excludable rights to approach a regulator, tribunal or other competent forum, the competent courts at Kolkata, West Bengal, India will have jurisdiction. No mandatory statutory remedy is waived.

25. General provisions

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a right is not a waiver. These Terms and the expressly agreed purchase terms govern service use; mandatory law prevails in a conflict. No agency, partnership or employment relationship is created between the Clinic and the operator.

26. Contact
